1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the data.vinaudit.com website, APIs, data feeds, datasets, software, tools, documentation, and related services (collectively, the "Services") provided by VinAudit.com Inc. ("VinAudit," "we," "our," or "us").
The Platform is a separate service from VinAudit's consumer-facing products (such as vinaudit.com vehicle history reports). These Terms apply exclusively to the Platform and its data services, APIs, subscription plans, and related offerings.
By accessing or using the Services, creating an account, clicking to accept, or otherwise indicating assent electronically, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and "Customer," "you," and "your" refer to that entity.

2. Description of Services
VinAudit provides business-oriented automotive data products and related services across the United States and Canada. The Services may include, without limitation, APIs, bulk or recurring data feeds, vehicle market listings data, market values data, vehicle specifications, VIN build data, window sticker data, vehicle history data, VIN monitoring service, recall data, vehicle images, OCR-related tools, and related automotive datasets and analytics.
The Services are intended for commercial and internal business use. VinAudit may add, change, improve, suspend, or discontinue any Service, feature, endpoint, data source, or product offering at any time.
3. Accounts, Access, and Security
To access certain Services, Customer may be required to register an account, obtain credentials, or use API keys, tokens, or similar access mechanisms. Customer is responsible for all access and activity occurring under its accounts and credentials.
Customer is fully responsible for the acts and omissions of its employees, contractors, agents, representatives, and any other person who accesses or uses the Services using Customer's accounts, credentials, API keys, or tokens.
Customer shall:

maintain accurate and current registration, billing, and contact information;
-
keep all usernames, passwords, API keys, tokens, and other credentials confidential and secure;
-
limit access to employees, contractors, and representatives who have a legitimate business need and are acting on Customer's behalf; and
-
promptly notify VinAudit of any suspected unauthorized access, credential compromise, or misuse of the Services.
VinAudit may suspend, rotate, revoke, or restrict credentials, accounts, or access if VinAudit reasonably believes that Customer's use presents a security, legal, operational, or payment risk.
4. License Grant
Subject to these Terms and payment of all applicable fees, VinAudit grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable access period to access and use the Services and the data made available through them solely for Customer's own internal business purposes, and not for resale, redistribution, sublicensing, or providing the Services or data to any third party except as expressly authorized in writing by VinAudit.
No rights are granted except as expressly stated in these Terms. All rights not expressly granted are reserved by VinAudit and its licensors.
5. Data License Restrictions
Unless VinAudit has expressly authorized otherwise in a separate written agreement signed by an authorized VinAudit representative, Customer shall not, and shall not permit any third party to:

sell, resell, license, sublicense, assign, transfer, distribute, redistribute, publish, republish, disclose, or otherwise make any Service or VinAudit data available to any third party;
-
use the Services or VinAudit data for the benefit of any third party except as expressly authorized by VinAudit in writing;
-
use the Services or VinAudit data for any service bureau, hosted pass-through, white-label, proxy, marketplace, public search tool, or other third-party access model;
-
scrape, crawl, harvest, bulk extract, or otherwise collect data from the Services except through VinAudit's expressly authorized APIs, feeds, or tools and only within purchased or permitted usage limits;
-
permit mass downloads, bulk exports, or bulk feeds of any VinAudit data except as expressly authorized by VinAudit in writing;
-
create, compile, maintain, or distribute any dataset, database, benchmark, or product that is substantially similar to, competitive with, or a substitute for VinAudit's data or Services;
-
use the Services or VinAudit data in any manner that competes with VinAudit or serves as a substitute for VinAudit's products, services, or data offerings, or assist any third party in doing so;
-
use the Services or VinAudit data to train, fine-tune, validate, improve, or otherwise support any artificial intelligence, machine learning, large language model, foundation model, or similar system;
-
reverse engineer, decompile, disassemble, decode, adapt, or otherwise attempt to derive source code, methods, or underlying structure of the Services, except to the limited extent prohibited by law;
-
remove, obscure, or alter any copyright, trademark, proprietary, attribution, disclaimer, or other notices associated with the Services or VinAudit data; or
-
use the Services or VinAudit data for any unlawful, fraudulent, deceptive, abusive, or unauthorized purpose.
Any use beyond Customer's own internal business purposes requires prior written authorization from VinAudit.
6. Data Storage, Retention, and Use Restrictions
Customer may retain or store VinAudit data only to the extent reasonably necessary for its authorized internal business use and only for the applicable retention period specified in the relevant Order Form, Product Documentation, or other written agreement with VinAudit. If no retention period is specified, Customer may retain such data for no longer than thirty (30) days from the date it is received. Upon expiration of the applicable retention period or termination of this Agreement, Customer shall promptly delete or destroy all retained VinAudit data, except as otherwise required by applicable law or expressly authorized in writing by VinAudit.
Customer shall not use retained data to avoid paying ongoing subscription, access, refresh, or usage fees, and shall not maintain a permanent archive, offline copy, or historical database of VinAudit data except as reasonably necessary for lawful internal records or as otherwise expressly authorized in writing by VinAudit.
Upon termination or expiration of the applicable Services, Customer must stop using the affected VinAudit data and, upon VinAudit's written request, delete or destroy retained copies except to the limited extent retention is required by law or preserved in routine backup systems.
7. Products, Plans, and Service Availability
The Services may be offered on a subscription basis, usage-based basis, quote-based basis, or through another pricing or access model stated on the platform, in product documentation, in a checkout flow, or in a separate written agreement. Some Services may be subject to plan limits, query caps, rate limits, seat limits, permitted use scopes, technical requirements, or product-specific rules.
Where a Service is offered as a monthly subscription, VinAudit will charge the applicable subscription fee to Customer's payment method or invoice on file in advance, at the start of each 30-day billing period, and the subscription will automatically renew for successive 30-day billing periods until cancelled in accordance with Section 9.
VinAudit may offer trial, evaluation, or promotional access to certain Services, including a limited query quota trial or other limited trial access. Any trial access is provided solely for evaluation purposes, may be subject to feature, usage, volume, seat, or time limitations, and may be modified, suspended, or terminated by VinAudit at any time in its discretion. Unless VinAudit expressly states otherwise in writing, trial access ends automatically when the trial query quota is exhausted, creates no vested or continuing rights to the Services, and any continued access or use after the trial is subject to VinAudit's then-current fees, pricing, and terms or another written arrangement with VinAudit. An individual developer may register for trial access to evaluate the Services on behalf of a prospective business customer without separately establishing that they have authority to bind an entity; full paid access nonetheless remains subject to Section 1 and is intended for commercial and internal business use.
VinAudit may monitor usage for billing, security, compliance, fraud prevention, capacity planning, and support. Unusual, excessive, abusive, or unauthorized usage may result in rate limiting, suspension, or termination. Usage is measured per calendar month. Invoices and usage reports are also calculated on a calendar month basis.
8. Fees and Payment Terms
Customer agrees to pay all applicable fees, charges, and amounts associated with their access to and use of the Services, including subscription fees, usage-based fees, per-query fees, API fees, overage fees, implementation fees, and any other applicable charges.
All fees, charges, and payments are denominated and payable in United States Dollars (USD). If Customer's payment method is in another currency, any conversion fees applied by Customer's bank or payment provider are Customer's responsibility.
Unless otherwise stated by VinAudit in writing:

for monthly subscription Services, each new subscription is charged the full base fee (e.g., $100) immediately upon activation, covering its first 30-day billing cycle;
-
subscription billing cycles are 30 days regardless of calendar month;
-
the subscription automatically renews at the end of each cycle, and the base fee is charged to the payment method on file on each Renewal Date;
-
if Customer adds a new subscription to an existing account, the new subscription's base fee is charged immediately and the account's Renewal Date resets to the new subscription's activation date plus 30 days, with each pre-existing service charged its renewal fee plus a prorated bridge charge for any gap days on the first bill at the new Renewal Date;
-
all usage-based charges for all services are consolidated and billed on the Renewal Date;
-
if the subscription that established the current Renewal Date is cancelled, the Renewal Date recalculates based on the remaining active subscriptions;
-
fees do not include applicable taxes, duties, levies, or governmental charges, all of which are Customer's responsibility except taxes based on VinAudit's net income;
-
API per-query fees and other usage-based fees are non-refundable once incurred, processed, delivered, or made available;
-
VinAudit may charge a late fee of up to three percent (3%) per month on overdue balances, or the maximum rate permitted by applicable law, whichever is lower; and
-
for payments made by credit card, VinAudit may include applicable taxes and up to three percent (3%) in credit card processing fees to cover payment processing costs.
Customer must notify VinAudit in writing of any invoice dispute within thirty (30) days of the invoice date. The dispute notice must include the invoice number, the disputed amount, and the basis for the dispute. Failure to dispute an invoice within this period constitutes acceptance of the invoiced charges.
In the event of a billing dispute, Customer is encouraged to contact VinAudit directly before initiating a chargeback or payment reversal with their bank or payment provider. Customer may be responsible for any chargeback fees incurred by VinAudit as a result.
If Customer fails to pay any amount when due, VinAudit may suspend or restrict access to some or all of the Services, require revised payment terms, and pursue collection of unpaid balances together with applicable late fees and collection costs to the extent permitted by law.
9. Cancellation, Suspension, and Termination
Customer may cancel a subscription at any time through the Platform's online account interface. Cancellation does not relieve Customer of any obligation to pay fees already incurred or amounts otherwise owed. Monthly subscription fees are charged in advance, at the start of each billing period, and are non-refundable in whole or in part, including for any unused portion of a billing period.
To prevent future subscription renewal charges, Customer must cancel the subscription before the next Renewal Date. Cancellation prevents the subscription from renewing but does not entitle Customer to a refund, credit, or proration for the then-current or any prior billing period. Customer retains access to the affected Services through the end of the current billing period already paid for, and the subscription will not renew thereafter. Any usage-based charges incurred before or during the remaining access period remain payable and will be charged in accordance with the applicable billing terms.
Except as expressly agreed by an authorized VinAudit representative in writing, payments made by Customer are non-refundable. No refund, credit, or rebate will be owed solely because Customer elects to stop using the Services after fees have been incurred.
VinAudit may suspend or terminate access immediately, with or without notice, if Customer fails to pay amounts when due, breaches these Terms, misuses the Services, exceeds authorized usage, engages in suspicious or abusive activity, or uses the Services in a manner that creates legal, security, reputational, or operational risk.
Upon termination or expiration of the applicable Services, Customer's right to access and use the affected Services immediately ceases, and Customer must stop using the affected Services and VinAudit data except to the limited extent otherwise expressly authorized in writing or required by law.
10. Legal Compliance and Data Usage Rules
Customer is solely responsible for determining whether its use of the Services and any actions taken based on the Services comply with applicable law, regulation, contractual restriction, or third-party right.
Customer shall:

use the Services only for lawful purposes and in compliance with applicable federal, state, provincial, local, and international laws and regulations;
-
not use the Services in a manner that infringes privacy rights, intellectual property rights, or other rights of any person or entity;
-
not use the Services for fraudulent, deceptive, discriminatory, or harmful conduct;
-
not use the Services in a manner that violates any applicable restrictions relating to regulated, licensed, or third-party-sourced data; and
-
promptly cooperate with reasonable requests from VinAudit relating to compliance, misuse investigations, or suspension decisions.
VinAudit reserves the right to investigate suspected misuse and to suspend or terminate access where VinAudit reasonably believes Customer is using the Services in violation of these Terms or applicable law.
11. Intellectual Property
As between the parties, VinAudit and its licensors own all rights, title, and interest in and to the Services, including all software, content, data compilations, documentation, trademarks, trade names, service marks, interfaces, designs, and all related intellectual property rights. Except for the limited license expressly granted in these Terms, no right, title, or interest is transferred to Customer.
12. Third-Party Data and Sources
The Services may include or depend on data, content, or materials obtained from third-party sources. Such third-party data may be subject to additional restrictions, delays, omissions, inaccuracies, changes, or discontinuation beyond VinAudit's control. VinAudit may modify or discontinue access to any third-party source or component without liability.
13. Disclaimer of Warranties
THE SERVICES AND ALL RELATED DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. VINAUDIT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND RESULTS.
Without limiting the foregoing, VinAudit does not warrant that the Services will be uninterrupted, secure, timely, complete, current, error-free, or suitable for any particular business, technical, operational, pricing, compliance, underwriting, or transactional purpose.
Without limiting the foregoing, VinAudit is not responsible for errors, omissions, delays, incomplete records, or inaccuracies in data supplied by third-party sources, or for any business, pricing, underwriting, compliance, purchasing, lending, operational, or other decisions made by Customer or any third party based on the Services or VinAudit data.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINAUDIT AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINAUDIT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CUSTOMER TO VINAUDIT FOR THE APPLICABLE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
Customer shall defend, indemnify, and hold harmless VinAudit, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any third-party claims, actions, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer's access to or use of the Services or VinAudit data in violation of these Terms; (b) Customer's violation of applicable law, regulation, or third-party rights; (c) any product, service, output, recommendation, or decision made by Customer using or based on the Services; or (d) any gross negligence, fraud, or willful misconduct by Customer or its employees, contractors, or representatives. VinAudit may assume exclusive control of the defense and settlement of any matter subject to indemnification, and Customer will provide reasonable cooperation at Customer's expense.
16. Changes to the Services and Terms
VinAudit may update, revise, or modify the Services and these Terms from time to time. Updated Terms will become effective when posted to the platform or on the later effective date stated in the updated Terms. Customer's continued access to or use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms. For changes to subscription pricing, VinAudit will provide at least fifteen (15) days' notice before the new pricing takes effect. Price changes will apply starting at the next Billing Cycle following the notice period.
17. Notices
VinAudit may provide notices by email, account notification, posting on the platform, or other reasonable means. Customer shall send legal notices to VinAudit.com Inc. at 218 Main St #688, Kirkland, WA 98033, United States.
Except where these Terms expressly state that VinAudit "will" provide notice of a specific matter, VinAudit is not obligated to provide proactive notice except as required by applicable law. Nothing in these Terms limits any notice or cancellation right that cannot lawfully be waived.
18. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. The state and federal courts located in Delaware shall have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Services, and each party irrevocably submits to the personal jurisdiction of such courts.
19. Miscellaneous
These Terms constitute the entire agreement between Customer and VinAudit regarding the Services.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. No failure or delay by VinAudit in exercising any right shall operate as a waiver of that right.
No Third-Party Beneficiaries. Except as expressly stated in these Terms, these Terms are for the benefit of Customer and VinAudit only and do not create any rights in favor of any third party.
Survival. Any provisions of these Terms that by their nature should survive suspension, termination, or expiration will survive, including without limitation provisions relating to payment obligations, data use restrictions, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and these miscellaneous provisions.
Force Majeure. VinAudit will not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet or network failures, third-party service failures, power outages, governmental action, natural disasters, or similar events, except that this Section does not excuse Customer's payment obligations.
